fyxklim.click is a business operating in Canada and these Terms are intended to be interpreted in a manner consistent with applicable Canadian federal and provincial laws, including the laws of Ontario where applicable.

1. Introduction and Acceptance of Terms

These Terms constitute a legally binding agreement between you and fyxklim.click regarding your use of our music studio rental services and website at fyxklim.click.

• By making a booking, submitting a reservation request, paying for a service, entering our premises, or otherwise using our services, you confirm your acceptance of these Terms.
• If you are using our services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
• We may require you to accept additional studio-specific rules, release forms, waivers, or policies before access to certain services or facilities is granted.

2. Scope of Services

fyxklim.click provides music studio rental services and related support services, which may include access to recording, rehearsal, production, or other studio spaces, equipment, and amenities, subject to availability and booking confirmation.

• Services are provided only for the time period, room, equipment, and package expressly confirmed in your booking.
• We may offer add-ons, technical assistance, equipment rentals, or other service enhancements from time to time.
• We reserve the right to modify, substitute, suspend, or discontinue any feature, room, equipment, or service offering at any time, subject to any pre-paid booking commitments already confirmed.
• All services are provided on an “as available” basis and may be subject to operational constraints, maintenance, safety requirements, or staffing limitations.

3. User Obligations and Responsibilities

You agree to use our services responsibly, lawfully, and in accordance with all posted rules, instructions, and applicable laws.

• You must provide accurate, current, and complete information when booking or communicating with us.
• You are responsible for the conduct of yourself, your guests, performers, contractors, and any other persons you allow into the premises.
• You must comply with all safety instructions, house rules, noise restrictions, occupancy limits, equipment usage guidelines, and studio policies.
• You must not damage, misuse, alter, or remove studio property, equipment, furnishings, software, or physical infrastructure.
• You are responsible for backing up your own recordings, files, and creative materials. We do not guarantee retention of any files unless expressly agreed in writing.
• You must not use our services for unlawful, defamatory, harassing, obscene, infringing, or dangerous activities.
• You must not bring prohibited items, hazardous materials, illegal substances, weapons, or unauthorized animals onto the premises, except as required by law for service animals.
• You are responsible for any loss, damage, or injury caused by your breach of these Terms, negligence, or misconduct, including the conduct of your invitees.

4. Payment Terms and Conditions

All fees, rates, deposits, taxes, and payment requirements will be disclosed during booking or in a written quote or invoice.

• Prices may be quoted in Canadian dollars unless otherwise stated.
• Applicable taxes, including GST/HST or other required taxes, may be added to the stated price.
• Payment may be required in advance, at the time of booking, upon arrival, or upon completion of services, depending on the booking terms.
• We may require a deposit, security hold, or pre-authorization for certain bookings, equipment use, or extended sessions.
• All payments must be made using approved payment methods.
• You authorize us to charge your selected payment method for any confirmed bookings, late fees, cancellation fees, damage charges, cleaning fees, overtime charges, administrative charges, or other amounts due under these Terms.
• If a payment is declined, reversed, charged back, or not successfully processed, we may suspend access to services and recover any related costs, to the extent permitted by law.
• Late arrivals do not extend the booked time unless we expressly agree otherwise. You remain responsible for the full booking fee.
• Any overtime use beyond the booked period may be billed at our then-current rates, subject to availability.

5. Cancellation and Refund Policy

Cancellation and refund terms may vary depending on the booking type, duration, and any promotional or special-rate terms provided at the time of booking.

• Unless otherwise stated in writing, cancellations must be made in accordance with the cancellation deadline communicated at booking.
• Failure to arrive for a booking may be treated as a cancellation or no-show, and no refund may be issued.
• Refunds, if any, are issued only in accordance with the applicable booking terms and subject to any non-refundable deposits, administrative fees, or transaction costs permitted by law.
• If we must cancel a booking due to operational issues, safety concerns, maintenance, or other reasons within our control, we may, at our discretion, offer a rescheduling option or refund for the affected portion of the booking.
• We are not responsible for cancellations caused by circumstances beyond our reasonable control, including force majeure events.
• Any approved refund will generally be made to the original payment method unless otherwise required or agreed.
• Disputes about cancellations or refunds must be reported to us promptly using the contact information below.

6. Liability Limitations

To the fullest extent permitted by applicable law, fyxklim.click is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of business opportunities, or reputational harm, arising out of or related to your use of our services.

• Our total liability for any claim arising out of or relating to the services will not exceed the amount paid by you to fyxklim.click for the specific service giving rise to the claim, except where prohibited by law.
• Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited under applicable law, including liability for gross negligence, intentional misconduct, or other non-excludable obligations.
• You acknowledge that studio environments involve inherent risks, including but not limited to equipment malfunction, slips, trips, falls, noise exposure, and damage to personal property.
• You are responsible for securing your own belongings. We are not responsible for lost, stolen, or damaged personal items, except to the extent caused by our proven negligence and where liability cannot legally be excluded.
• Any technical support or setup assistance provided by us is offered as a convenience and does not create a warranty that the equipment or environment is suitable for your intended purpose.

7. Intellectual Property Rights

All content, trademarks, logos, text, graphics, software, designs, photographs, audio, video, and other materials on our website or used in connection with our services are owned by or licensed to fyxklim.click and are protected by applicable intellectual property laws.

• You may not copy, reproduce, distribute, modify, publicly display, reverse engineer, or create derivative works from our intellectual property without prior written permission, except as permitted by law.
• Any pre-existing intellectual property that you bring into the studio remains your property or your licensor’s property, as applicable.
• Unless otherwise agreed in writing, you are solely responsible for ensuring that your use of our facilities does not infringe the rights of any third party.
• If you record, upload, or create content while using our services, you represent that you have all necessary rights, licenses, permissions, and clearances for such content.
• Any feedback, suggestions, or ideas you provide to fyxklim.click may be used by us without restriction or compensation, to the extent permitted by law.

We respect your privacy and handle personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and other applicable provincial laws.

• We collect, use, disclose, and retain personal information as necessary to provide and administer our services, process payments, communicate with you, improve operations, maintain security, and comply with legal obligations.

• labour disputes, strikes, lockouts, or staffing shortages;
• government actions, public health emergencies, orders, restrictions, or travel disruptions;
• war, terrorism, civil unrest, or other emergencies;
• any other event reasonably beyond our control.

If a force majeure event occurs, we may suspend, reschedule, or cancel affected services and will use commercially reasonable efforts to notify you and, where appropriate, offer a rescheduling or other remedy in accordance with our policies and applicable law.

13. Severability Clause
